Attorney directory<\/strong><\/h2>","content":"Rachael Honig\"Rachael<\/strong>\r\nSenior Vice President and General Counsel\r\nAs General Counsel, Rachael is the chief legal officer for the University. She oversees the provision of legal and strategic advice to the University\u2019s schools, centers, divisions, units, departments and owned or controlled entities in a wide range of areas, including relating to academic matters, healthcare, research, labor and employment, intellectual property, contracts and other transactional matters, real estate, tax, immigration, conflicts of interest, investigations, litigation, and other disputes. Rachael manages and oversees the Office of Counsel, which consists of 20 attorneys and 14 professional staff. She also oversees the engagement of all external legal service providers and manages the budget for delivery of these legal services.\r\n\r\n \r\n\r\n\"PortraitCarla Gazes\r\n<\/b><\/b>Deputy General Counsel for Health Sciences and Chief Counsel to URMC\r\nCarla provides, supervises, and directs legal services to the Medical Center and its regional affiliates on the wide range of issues relevant to the Medical Center\u2019s research, teaching, patient care, and community outreach missions in a highly regulated environment. Carla provides advice and representation to the Medical Center\u2019s leadership and physicians on federal and state healthcare regulatory matters, including corporate governance, the application of federal and state anti-kickback and physician self-referral laws, strategic transactions, and conflicts of interest. Carla also has extensive experience in data privacy and security, human subject research, property tax exemption, federal reimbursement, and cost report issues, and drafting, reviewing, and negotiating contracts. In this role, Carla also advises the University of Rochester Medical Faculty Group, the School of Medicine and Dentistry, the Eastman Institute of Oral Health, and the School of Nursing & Health Sciences. Prior to joining the University of Rochester, Carla worked for over 22 years in-house at a large academic medical center on the South Side of Chicago.\r\n\r\n \r\n\r\n\"PortraitNathan Deen<\/b>\r\nDeputy General Counsel\r\nNathan\u2019s primary areas of practice include student affairs, public safety, Title IX, FERPA, Clery, ADA compliance, and academic affairs. Nathan manages many general litigation matters for the University, especially those unrelated to clinical health care activities, and provides primary support to the Senior Vice President and General Counsel. He also leads the group of transactional and business attorneys working on such matters outside of URMC. Before joining the University, Nathan led the provision of legal services to Washington State University at the Washington Attorney General\u2019s Office\r\n\r\n \r\n\r\n\"PortraitDeirdre Flynn<\/b>\r\nAssociate Vice President for Risk Management\r\nDeirdre provides advice to the University on matters in litigation, those disputes that may have a risk of litigation and conducts internal investigations. She primarily advises the University\u2019s hospitals, medical school, nursing school, physicians, and other health care professionals, to avoid risk and manage disputes so that they do not end up in court. Deirdre works on the team that manages the University\u2019s medical malpractice litigations, other general liability claims and the occasional commercial litigation. Deirdre also works on issues that may come up with the NYS regulatory agencies with the responsibility for health care operations and licensure of medical professionals. She is the primary liaison in the Office of Counsel for issues involving law enforcement and the criminal justice system. Prior to joining the University, Deirdre was a prosecutor, working as an Assistant United States Attorney in the Rochester office of the Western District of New York and a litigation associate.\r\n\r\n \r\n\r\n\"Portrait<\/b>\r\n\r\nDiane Caselli<\/b>\r\nSenior Associate General Counsel, Deputy Chief Counsel to URMC\r\nDiane handles a wide variety of matters, including but not limited to health care policies, medical staff credentialing, patient care issues, medical center faculty employment, conflict of interest, corporate housekeeping, not-for-profit compliance and governance, and physician practice acquisitions. She works on a variety of contracts, including service agreements, employee lease agreements, consulting agreements, confidentiality agreements, student affiliation agreements, space licenses, facility use agreements, and business associate agreements. In addition to advising Strong Memorial Hospital, Highland Hospital, URMFG, the School of Medicine and Dentistry and the School of Nursing & Health Sciences, she provides legal support to the Highlands at Pittsford, the Highlands at Brighton, Visiting Nurse Service, and Finger Lakes Donor Recovery Network in these as well as other areas.\r\n\r\n \r\n\r\n\"CareyCarey Ann Denefrio\r\n<\/b>Senior Associate General Counsel\r\nAs Senior Associate General Counsel, Carey Ann leads the Office of Counsel\u2019s Labor and Employment Practice Group.\u00a0 Carey Ann provides legal counseling on all aspects of labor and employment law, including regularly counseling on discrimination, harassment, wrongful termination and retaliation; disability, accommodations, and leaves of absence; wage and hour matters; and health and safety related issues. \u00a0Carey Ann also provides advice on various employment matters such as hiring, discipline, termination, and performance management; employment agreements; employment policies; and staying informed on federal, state and local regulatory requirements, as well as any updates to labor and employment related laws. \u00a0Carey Ann also handles matters before various state and federal agencies and oversees employment related litigation. \u00a0Prior to joining the University of Rochester, Carey Ann was Corporate Counsel at a large business corporation, and was previously a litigator in private practice and a Confidential Law Clerk for a U.S. Magistrate Judge.\r\n\r\n \r\n\r\nLogan C. Geen\"Headshot\r\n<\/b>Senior Counsel\r\nLogan provides legal advice to 糖心传媒 Medicine, including the regional affiliates, on a wide range of regulatory and statutory compliance issues. His areas of focus include federal and state fraud and abuse laws, HIPAA and other privacy laws, Medicare and Medicaid, telehealth, billing and reimbursement, graduate medical education, and research compliance. Logan is the lead attorney supporting the URMC Office of Integrity and Compliance, providing legal consultation and representation on self-disclosures, appeals, audits, investigations, and other government enforcement actions. He also assists with payor relations and contracting matters, including disputes and population health\/value-based care. Prior to joining the Office of Counsel, Logan was Corporate Counsel for Managed Care Contracting for Jefferson Health and had also served as Legal Counsel for Government Programs at Excellus BlueCross BlueShield and as a health law attorney in private practice at two large upstate NY firms.\r\n\r\n \r\n\r\n\"PortraitJessie Gregorio\r\n<\/b>Associate Counsel\r\nJessie provides legal services and advice to the Medical Center and its regional affiliates on a variety of health law issues, including but not limited to contracts, patient care issues, health care policies, medical center faculty employment, HIPAA, practice acquisitions, and other general legal matters that are presented to the Medical Center\u2019s Office of Counsel. Prior to joining the University, Jessie was a health care litigator in private practice.\r\n\r\n \r\n\r\n\"PortraitAlexandra Herr<\/b>\r\nAssociate Counsel\r\nAlexandra advises on a wide range of legal matters affecting the academic medical center and its affiliates. Her focus is on strategic legal counsel on complex issues related to telemedicine, including compliance with evolving federal and state regulations, licensure, and multi-jurisdictional care delivery. Alexandra also advises on legal matters impacting patient care, with a particular emphasis on behavioral health. This includes navigating legal and regulatory challenges associated with patient rights, confidentiality, and involuntary treatment, as well as supporting the institution\u2019s initiatives to expand access to mental health services. In addition to regulatory and patient-related work, Alexandra drafts, reviews, and negotiates a broad range of contracts for various departments and clinical programs across the medical center. These include service agreements, affiliation agreements, vendor contracts, and other operational documents that support URMC\u2019s mission in clinical care, education, and research. Prior to joining URMC, Alexandra served as in-house counsel for an academic medical center in Buffalo, New York, where she advised on healthcare regulatory compliance, medical staff matters, and risk management issues. Earlier in her career, she was a litigator in a private firm with a focus on defense-based medical malpractice litigation, representing hospitals, physicians, and other healthcare providers.\r\n\r\n \r\n\r\n\"PortraitMichelle Johnson\r\n<\/b>Associate Counsel\r\nMichelle provides legal counseling across the spectrum of labor and employment law including discrimination, harassment, and retaliation complaints; hiring, termination, and performance management; wage and hour matters; occupational safety and health issues; and leave issues. Michelle also advises on employment agreements, employment policies, and compliance with federal, state, and local law. Michelle handles matters before various state and federal agencies, and oversees employment related litigation. Prior to joining the Office of Counsel, Michelle represented and counseled employers in private practice in Baltimore, Maryland. Michelle is admitted to the bar of New York, Maryland (inactive), and Washington D.C. (inactive).\r\n\r\n \r\n\r\n\"PortraitClaire St. Aubin Kuechle<\/b>\r\nSenior Associate General Counsel\r\nClaire provides legal advice to the Medical Center, with a focus on third-party payor relationships, managed care contracting, reimbursement disputes, and payment policies. She counsels on fee-for-service and value-based care arrangements, including shared savings and bundled payment models. Claire also assists with complex state and federal regulatory issues related to transactions, such as joint ventures, collaborations, affiliations, and service line agreements. Her experience includes physician employment and professional services agreements, fraud and abuse compliance, and health information privacy laws. Prior to joining the University, Claire worked for over ten years as a heath law attorney in Buffalo, New York, most recently serving as in-house counsel for a large academic medical center.\r\n\r\n \r\n\r\n\"PortraitScott Malouf\r\n<\/b>Associate Counsel\r\nScott counsels on issues regarding procurement, contracts, purchase orders and vendor relationships. He is also focused on online issues such as collaborative tools, social media, and certain intellectual property, as well as technology issues more generally including software licenses and data privacy. Scott also provides legal support for the University\u2019s research activities, including research collaborations, sponsored research and clinical trial agreements. He is an active member of the New York State Bar Association\u2019s Commercial and Federal Litigation Section. Before joining the University Scott ran his own practice.\r\n\r\n \r\n\r\n\"PortraitJohn Nutter<\/b>\r\nSenior Counsel\r\nJohn provides legal advice and counseling to the University on all aspects of labor and employment law, including discrimination, harassment, and retaliation complaints; hiring, termination, and performance management; wage and hour matters; occupational safety and health issues; leave issues; employment agreements and policies; and compliance with federal, state, and local law. John also handles matters before various state and federal agencies, including the New York State Division of Human Rights and the Equal Employment Opportunity Commission, and oversees employment related litigation. Prior to joining the Office of Counsel, John was in private practice, where he regularly represented employers on labor and employment issues and handled general litigation matters.\r\n\r\n \r\n\r\n\"PortraitJames (\u201cJimmy\u201d) Paulino<\/b>\r\nSenior Counsel\r\nJimmy provides legal counseling on issues relating to research and data privacy, including domestic and international data protection, intellectual property rights, federal, state and international research guidelines and regulations, misconduct investigations, project administration, artificial intelligence governance, risk management, and conflicts of interest and commitment and other ethical considerations. Jimmy also provides counseling regarding compliance with federal, state and international regulatory requirements relating to privacy, security, human subject protections, funded research, laboratory and clinical practices. Jimmy also handles matters before various state and federal agencies and oversees research-related litigation and administrative proceedings. Prior to joining the Office of Counsel, Jimmy was in private practice focusing on cybersecurity and data privacy incident response and advisory services, compliance with state and federal data privacy and security frameworks including FERPA and HIPAA, as well as electronic discovery and data management, and represented clients in state and federal commercial litigation.\r\n\r\n \r\n\r\n<\/b>Joshua Pheterson\"Portrait<\/strong>\r\nAssociate Counsel\r\nJosh provides legal advice and counseling to the University on all aspects of real estate, land use, facilities, and construction matters. His practice includes the preparation and negotiation of real estate leases and licenses; real estate acquisition and disposition agreements; design and construction contracts; easements and rights of way; and brokerage and property management agreements. Prior to joining the Office of Counsel, Josh practiced real estate and corporate law in private practice in Rochester and New York City, and served as in-house counsel for a Rochester real estate development company for over a decade. He also worked for Monroe County where he advised on real estate matters and counseled the Monroe County Airport Authority.\r\n\r\n \r\n\r\n\"PortraitMichael Rooney<\/b>\r\nSenior Counsel\r\nMichael provides legal advice and counseling to the University on a wide range of higher education matters, including student and academic affairs. He also manages litigation matters impacting the University and handles a variety of pre-suit activities. In addition, Michael advises departments and professionals across the University on responding to subpoenas and other requests for information. Prior to joining the University in 2022, Michael served as a law clerk to a U.S. District Judge and a U.S. Magistrate Judge and was a litigator in private practice.\r\n\r\n \r\n\r\n\"PortraitJames Shannon\r\n<\/b>Senior Counsel\r\nJames provides legal services and advice to the Medical Center and its regional affiliates on a variety of health law issues, including vendor contracting, compliance with federal and state fraud and abuse laws, physician employment and professional services agreements, physician practice acquisitions and other complex transactions, health information privacy laws, compliance with 340B Program requirements and other legal matters presented to the Medical Center\u2019s Office of Counsel.\r\n\r\n \r\n\r\nJamie Smith\"Portrait\r\n<\/b>Associate Counsel\r\nJamie provides counsel to the University on a variety of transactional legal matters, including vendor\/supplier service agreements, affiliation agreements, letters of intent, memorandums of understanding, confidentiality agreements and business associate agreements. Jamie supports various groups within the University, including the offices of the Provost, Advancement, Student Life, Total Rewards, Global Engagement and Procurement. She has experience in commercial contract drafting and negotiation, mergers and acquisitions, corporate governance and finance, and other business-related legal matters. Prior to joining the University, Jamie was Corporate Counsel at Paychex and was previously an associate in the Business & Tax Department of Woods Oviatt Gilman LLP.\r\n\r\n \r\n\r\nEdward Steve\"Portrait\r\n<\/b>Senior Counsel\r\nEd provides legal advice and counsel to the University on a wide variety of labor and employment topics including: discrimination, harassment, and retaliation; leave issues; disability accommodations; wage and hour matters; employment agreements; out-of-state and international employment issues; and human resources policies. Ed also counsels Human Resources and managers on matters related to performance management and employee discipline. Ed represents the University before state and federal agencies, including the New York State Division of Human Rights and the Equal Employment Opportunity Commission, and he oversees employment related litigation. Prior to joining the Office of Counsel, Ed represented employers on labor and employment matters, and was previously in-house counsel for JPMorgan Chase.\r\n\r\n \r\n\r\n\"Portrait<\/b>\r\n\r\nLaura Wilson<\/b>\r\nSenior Associate General Counsel\r\nLaura advises the Medical Center regarding all non-malpractice patient care issues including patient\/surrogate consent; advance directives; treatment of minors; patient discharge; withdrawal of treatment; rights and responsibilities of patients and their families; confidentiality and release of medical records; and the treatment of psychiatric patients. Laura oversees litigation regarding guardianships, patient treatment, and mental hygiene matters. Laura also drafts and reviews contracts and policies, and provides staff education regarding various topics.
